Public Offer Agreement for the Provision of Paid Services of UA Pro

Individual entrepreneur Sinelnikov Oleksandr Viktorovych, taxpayer registration number (RNOKPP) 3022620858, payer of the single tax under group 3 (hereinafter - the Contractor), offers to any Business User of the UA Pro platform (ua-pro.com, hereinafter - the Platform) to conclude this agreement on the terms set out below.

The terms "Business User", "Account", "Plan", "Subscription" and "MEGA SEO" are used within the meaning given to them in the Public Agreement on the Provision of Platform Services.

The Contractor provides paid Platform Services: a Subscription under a Plan, additional Account modules, MEGA SEO promotion, a UA Pro ERP subscription. The composition and cost of the Services are specified on the subscription pages in the Account at the time the invoice is generated.

Payment of an invoice generated in the Account constitutes full and unconditional acceptance of this agreement. The agreement is deemed concluded from the moment the funds are credited to the Contractor's account.

• Prices are stated in euros (EUR) or hryvnias (UAH), exclusive of VAT: the Contractor is not a VAT payer.
• For Users from Ukraine, the invoice is issued in hryvnias at the NBU exchange rate on the date of the invoice; payment is made by bank transfer via the NBU QR code or using the details stated in the invoice.
• For Users from other countries, the invoice may be issued in euros; payment is made by SEPA or SWIFT transfer to the Contractor's foreign currency account stated in the invoice.
• The payment deadline is 5 banking days from the date of the invoice. Stating the invoice number in the payment purpose is mandatory: payment is credited automatically by reference to it.
• Bank and payment system fees are paid by the User. Automatic debiting of funds is not carried out.

Access to the paid Service is activated automatically once the full amount has been credited to the Provider's account. The Service is deemed provided from the moment access is opened for the paid period. The invoice and the certificate of acceptance are provided in the Account or on request to office@ua-pro.com.

An invoice not paid within the deadline is cancelled; to continue the Service, the User generates a new invoice in the Account.

Funds for a period already being provided are non-refundable, except in cases provided for by law and by Section 7 of the Public Agreement on the Provision of Platform Services. Funds credited by mistake or in excess are refunded to the payer's account within 14 days of a request to office@ua-pro.com.

Use of the Services is also governed by the Public Agreement on the Provision of Platform Services, the Terms of Use, and the Privacy Policy. If the Account is blocked for violation of the Rules, funds for the unused period are not refunded.

The Provider's liability is limited to the amount paid by the User for the current period of the Service. The agreement is governed by the law of Ukraine. Disputes are resolved through negotiation, and if no agreement is reached, by the court at the Provider's location, taking into account the consumer rights provided for in Section 21 of the Public Agreement on the Provision of Platform Services.

The Provider may amend this agreement by publishing a new version on this page. Changes do not apply to a period already paid for.
